Terms of Service

1. Agreement to Terms

By accessing this website, submitting an inquiry form, or engaging Aells Studio for its branding or technology services, you agree to these Terms of Service. A signed proposal, statement of work, or service agreement may include additional project-specific terms and will control where it expressly differs from these website terms. If you do not agree, please do not use the website or services.

2. Services Offered

Aells provides the following services:

• Personal Branding — Organic Model: Research, scripting, on-set direction, video editing, SEO captioning, and social media publishing for founders, doctors, CAs, and professionals.
• Personal Branding — AI Model: AI-generated video and voice content based on client-provided voice and image samples, published under the client's identity (consent mandatory).
• Custom CRM & ERP Development: Tailor-made internal operational tools, dashboards, and workflow automation software.
• Mobile & Web Application Development: iOS, Android, and Next.js web applications built from scratch.
• AI Agents & WhatsApp Workflows: AI-assisted retrieval, classification, drafting, routing, chat, CRM integration, and automation with permissions, monitoring, and human escalation appropriate to the risk.
• Inventory & Order Automation: Stock tracking, multi-branch order routing, and automated invoice systems.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and truthful information during onboarding and project scoping.
• Cooperate with Aells' team by providing timely feedback, approvals, and required materials.
• For Organic Personal Branding clients — be available for scheduled recording sessions as per the agreed calendar.
• For AI Branding clients — provide explicit written consent before any AI model is created using your likeness or voice.
• Not use any content or software delivered by Aells in a manner that violates applicable laws, infringes third-party rights, or causes harm.
• Keep confidential any proprietary methods, processes, or strategies shared by Aells during the engagement.

4. Payment Terms

• All pricing is discussed and agreed upon during an onboarding call. No work commences without a confirmed payment arrangement.
• For Personal Branding services, payment is typically monthly-recurring as per the agreed retainer.
• For Technology & Custom Software projects, a milestone-based payment structure is agreed prior to development.
• Aells does not offer refunds once work has commenced, unless a specific refund clause has been included in your individual service agreement.
• Late payments may result in a pause of services until outstanding amounts are cleared.

5. Intellectual Property

• Content Ownership: Ownership and licence rights for original videos, scripts, and graphics transfer as stated in the project agreement after required payment, subject to third-party, stock, music, font, platform, and pre-existing-material licences.
• Software Ownership: Custom code ownership, repositories, deployment access, open-source components, third-party services, reusable Aells Studio materials, and handover responsibilities are defined in the project agreement.
• Portfolio Use: Aells Studio may showcase completed work only where the engagement terms, client permission, and confidentiality obligations allow it.
• AI Identity Assets: Rights, access, provider dependencies, permitted uses, retention, and deletion for face, voice, and likeness inputs are defined in the written consent and project scope. Aells Studio does not repurpose those identity inputs for unrelated content.
• Aells Brand & Tools: All proprietary systems, processes, workflows, templates, and brand assets of Aells remain the intellectual property of Aells and may not be copied or reproduced.

6. Confidentiality

Both parties agree to keep all non-public, sensitive, or proprietary information shared during the engagement strictly confidential. This includes business strategies, financial details, client identities, and technical specifications. This obligation survives the termination of the service engagement.

7. AI Personal Branding — Consent & Ethics

• AI-generated videos and voices are created solely with the client's explicit, documented consent.
• Aells strictly prohibits the creation of AI content that is defamatory, deceptive, or violates any applicable laws.
• Clients may revoke AI consent by notifying Aells Studio in writing. Stopping future production, removing access, deleting controlled assets, and handling provider or backup copies will follow the written consent, project agreement, and applicable legal obligations.
• Clients agree not to use AI-generated content in a manner that misleads audiences about the nature of the content (unless disclosed as legally required in applicable jurisdictions).

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Aells is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Aells does not guarantee specific business outcomes, follower counts, revenue results, or viral performance from content produced.
• Aells' total liability to any client shall not exceed the total fees paid by that client in the three (3) months preceding the claim.

9. Termination

• Either party may terminate the service engagement with 30 days written notice.
• Aells may immediately terminate services if a client breaches these terms, fails to make payments, or engages in conduct that is harmful, illegal, or unethical.
• Upon termination, all completed and paid-for deliverables will be transferred to the client. Work-in-progress may be invoiced on a pro-rata basis.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of courts located in Gujarat, India.

11. Changes to These Terms

Aells reserves the right to update these Terms of Service at any time. Changes will be reflected with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance of the revised terms. We will notify active clients of material changes via email or WhatsApp.
